AIAC ACQUIRES ONDEX FROM RENOLIT GROUP

RENOLIT Ondex S.A.S.

For Immediate Release

September 30, 2025 - Chevigny-Saint-Sauveur, France - American Industrial Acquisition Corporation (AIAC) today announced that its affiliate, Ondex Acquisition Company Ltd.,  has successfully completed the strategic acquisition of RENOLIT Ondex S.A.S., a leading manufacturer of high performance roof and other construction materials made from biaxially oriented polymer sheets, from RENOLIT Group, a private, multinational manufacturing company with annual sales of €1.196 billion and over 5,000 employees across thirty production sites in twenty countries. The transaction includes the administrative, research and development, and manufacturing facility in Chevigny-Saint-Sauveur, near Dijon, France.

Ondex S.A.S., which has been part of the RENOLIT Group since April 2006, specializes in manufacturing and selling translucent roof, panel, piping and gutter materials for the commercial, industrial, sports stadium, greenhouse, dairy farm, logistics and DIY markets.  The company serves corporate and governmental customers across Europe through its comprehensive product portfolio and established distribution network.

The acquisition strengthens AIAC's position as a global manufacturer and distributor, while providing Ondex with enhanced resources and capabilities to serve its customers more effectively in the construction materials sector. The company will continue to operate under the established Ondex brand, maintaining its commitment to customer service excellence while benefiting from AIAC's expanded resources and global best practices.

AIAC Chairman L. M. Levie commented "This important acquisition represents a strategic expansion of AIAC's building materials solutions capabilities in the European market.  Ondex’ proven expertise in state-of-the-art materials, combined with AIAC's global industrial platform and multi-channel distribution approach, creates an exceptional foundation for growth and enhanced customer service across the construction and architectural products sector.  We are particularly excited about Ondex’ new range of revolutionary, technologically advanced roofing products, which achieve substantially higher crop yields for greenhouses and higher milk production for dairy farms. These extraordinary materials’ unique properties of regulated light wave transmission, anti-bacterial, ventilation, and tensile strength make them the construction material of choice for the agricultural sector.  This is yet another example where AIAC can do well by doing good.”

Karsten Jänicke, Chief Executive Officer of RENOLIT, commented: "We are confident that AIAC's industrial expertise and commitment to operational excellence will provide Ondex with the platform it needs to achieve its full potential. We wish the management team and employees of Ondex every success as they begin this new chapter with AIAC."
